Terms of Service Last updated: 2026-10-06 These Terms of Service ("Terms") form a binding agreement between you and Robot Networks Inc., a Delaware corporation ("Robot Networks", "we", "us"). They govern your access to and use of Boardwalk, including boardwalk.cloud, the console at app.boardwalk.cloud, the API at api.boardwalk.cloud, and related services, documentation, and software we provide (together, the "Service"). Boardwalk is our product brand; Robot Networks Inc. is the operating entity. You accept these Terms by completing account registration or sign-in after being shown a notice that continuing constitutes agreement to these Terms, or by signing an agreement that incorporates them. Reviewing a legal page does not itself accept these Terms. If you use the Service for an organization, you represent that you have authority to bind that organization, and "you" means both you and that organization. 1. The Service Boardwalk provides OpenAI-compatible inference for open-weight models. You may call models we list or connect a Hugging Face repository for us to evaluate, configure, qualify, and serve. We choose the serving path, engine configuration, and hardware based on the model artifacts and our qualification process. Current features, supported request parameters, models, prices, and limits are described in our documentation and on the pricing page (https://www.boardwalk.cloud/pricing). Models and generated outputs are probabilistic. Qualification tests technical behavior; it is not a certification that a model or its outputs are accurate, safe, lawful, unbiased, or suitable for your intended use. You are responsible for evaluating the Service and every model you use. 2. Eligibility, accounts, and organizations You must be at least 18 years old and legally able to enter into these Terms. You must provide accurate account information, keep it current, and protect your login credentials and API keys. You are responsible for activity under your account, organizations, and keys, including activity by members you invite and applications in which you place a key. Tell us promptly at security@boardwalk.cloud (mailto:security@boardwalk.cloud) if you believe a credential has been compromised. Organization owners and administrators may manage members, credentials, models, and billing on behalf of the organization. You are responsible for assigning appropriate roles and for ensuring that every person you authorize complies with these Terms. 3. API keys and use by your applications API keys are confidential credentials. You may use them in your own products and internal systems, but you may not publish them, transfer them as standalone credentials, or allow another person to evade our account, safety, or billing controls. If your product makes the Service available to end users, you remain responsible for their use through your account and must maintain terms and safeguards appropriate to that use. You may not misrepresent Boardwalk as the source or author of model output, obscure a legally required disclosure, or resell undifferentiated access in a way that prevents you from identifying and stopping abusive end users when we reasonably ask you to do so. 4. Customer Content "Customer Content" means prompts and other inference inputs you submit, outputs returned to you, model repositories and artifacts you ask us to deploy, and other data you submit through the Service. As between you and us, you retain your rights in Customer Content. You grant us a worldwide, non-exclusive, royalty-free license to access, copy, validate, transform, store, transmit, and otherwise process Customer Content only as needed to provide, secure, and support the Service for you, enforce these Terms, and comply with law. Our application does not store a prompt or completion history in its metering or receipt database. Inference content passes through GPU machines we rent from GPU providers, whose memory, caches, and operational systems may hold it while delivering the Service. We do not use your prompts, outputs, or private model artifacts to train our own general-purpose models. We retain token counts, model and configuration identifiers, timing, status, and billing records so you and we can recount usage. More detail appears in our Privacy Policy (https://www.boardwalk.cloud/legal/versions/2026-10-06/privacy.txt) and Data Retention Policy (https://www.boardwalk.cloud/legal/versions/2026-10-06/data-retention.txt). We treat your non-public Customer Content, including private model artifacts, as confidential. We use it only for the purposes above and disclose it only to personnel and providers who need access and are subject to confidentiality obligations, as you direct, or as required by law. Where lawful, we will notify you of compelled disclosure. This obligation does not cover information lawfully public, independently developed without using your confidential content, or lawfully received without a duty of confidence. 5. Models you deploy You may deploy a model only if you have all rights, permissions, and licenses needed for us to retrieve, inspect, copy, modify as technically necessary, host, and run the model, including its base weights, tokenizer, adapter, configuration, and other artifacts. You are responsible for complying with the repository's license, gated-access terms, and any third-party rights. Our technical screening does not determine ownership or license compliance for you. Deployments are private by default. Customer deployments remain private; public catalog publication is restricted to Boardwalk operators. If we separately agree to publish a model for you, you must expressly represent that you hold the rights to host the model and serve it commercially to other organizations, including rights covering its base and any adapter, and that its license permits hosted inference. You authorize us to make the model callable by other Boardwalk customers, publish its source and serving metadata, and process their requests through it. You may request its removal, subject to completion of requests already in progress and the retention of metering, audit, and legal records. Making a model public does not transfer ownership to us and does not entitle you to a royalty, revenue share, or other payment unless we enter a separate written agreement. We may refuse, disable, or remove a deployment when its artifacts are unsafe or incompatible, when rights are unclear, when a third party makes a credible claim, or when serving it would create legal, security, or operational risk. 6. Outputs and your use of them As between you and us, and to the extent permitted by law, we claim no ownership of the outputs returned to you. Output may not be unique, may be similar to content returned to others, and may not qualify for intellectual-property protection. It may also be inaccurate, harmful, or subject to third-party rights or model-license conditions. You are responsible for reviewing output before using or sharing it and for providing any legally required human oversight, notices, disclosures, and appeal mechanisms. Do not rely on output as a substitute for qualified professional judgment or use it to make high-impact decisions without the safeguards required by applicable law. 7. Credits, prices, and payment The Service is prepaid unless we agree in writing to invoice your organization, as described under Invoiced accounts below. You buy credits through Stripe in the amounts offered in the console, and we deduct usage from them. A request to a catalog model is charged at the per-token prices attached to the model configuration that served it. A model you deploy is charged for GPU time instead: each GPU it holds, at the per-GPU-hour rate for that GPU class in effect when the GPU was assigned to it, from when its copy is installed until the GPU is released, including the idle hold you set after its last request. Published prices and rates are stated in U.S. dollars and may change prospectively; a completed request keeps the prices recorded on its receipt, and on-demand GPU time keeps the rate recorded when it began. Reserved capacity remains enabled until reduced or removed and is billed at published rates. New capacity uses the current published rate; increases for existing capacity take effect after at least 24 hours’ notice in the console, and decreases apply automatically. Earlier reserved-capacity charges retain their recorded rates. Credits do not expire while your organization remains active, have no cash value, are non-transferable, and may be used only for the Service. Credit purchases are non-refundable except under the consumer rights below, where required by law, where we terminate paid service without your breach, or where we agree otherwise. Prices exclude taxes. You are responsible for applicable taxes, and we may collect them where required. A completed request, or GPU time already in progress, may occasionally leave a small negative balance because we do not interrupt generation mid-response; you remain responsible for that usage, and later requests stop until the balance is positive. If you enable auto top-up, you authorize us and Stripe to charge the saved payment method for the amount you choose whenever usage, a request or a deployment's GPU time, leaves your balance below your chosen threshold, up to the daily limit shown in the console. Auto top-up is optional and remains enabled until you turn it off. We may retry a declined charge, and we pause auto top-up when a charge fails in a way that needs your attention; saving a new payment method or resuming it in the console restarts it. You are responsible for keeping billing information current and for charges incurred before a change takes effect. Deleting an organization permanently forfeits its unused credits, except to the extent applicable law requires another result. It does not cancel amounts already owed. Refunds, disputes, or chargebacks may result in a corresponding reversal of credits. We may suspend service while a payment dispute or negative balance remains unresolved. Invoiced accounts If we agree in writing to invoice your organization, we set a credit limit for it. Usage may then continue after any prepaid credits are used, up to that limit, and stops once the limit is reached. After each calendar month, measured in UTC, we issue an invoice for the usage the credit limit carried that no earlier invoice covered, itemized by model, GPU time, and storage. Invoices are due within 30 days of issue, or within the period stated in our written agreement, and are payable by the methods shown on the invoice. Prices exclude taxes, and we may add applicable taxes to an invoice. Paying an invoice restores the credit it used. You must keep your organization's billing details accurate, including its legal name, billing address, tax identifiers, and any purchase order reference your organization requires on its invoices. We may lower or withdraw a credit limit at any time; doing so stops new usage beyond your balance but does not interrupt requests already in progress, and amounts already incurred remain due. If an invoice is past due, we may suspend the Service until it is paid. Amounts owed survive suspension, termination, and the deletion of your organization. Consumer rights and withdrawal You may use Boardwalk personally or for business. A consumer is someone acting wholly or mainly outside their trade, business, craft, or profession. These Terms do not exclude mandatory consumer rights, including remedies for services that are not supplied as agreed. Warranty exclusions, liability limits, credit forfeiture, and other restrictions apply only to the extent the law permits. We do not exclude liability for fraud, deliberate misconduct, death or personal injury caused by negligence, or any liability that cannot lawfully be excluded. The indemnification obligations in Section 17 apply to business customers only. If applicable consumer law gives you a withdrawal right, including qualifying EU, EEA, and UK distance-service contracts, you may withdraw without giving a reason within 14 days after the contract is concluded. Submit the withdrawal form (https://www.boardwalk.cloud/withdraw), email legal@boardwalk.cloud, or send an unequivocal statement to Robot Networks Inc., c/o Legalinc Corporate Services Inc., 131 Continental Dr, Suite 305, Newark, DE 19713, United States. Sending your notice before the deadline is sufficient. You may use this model statement but do not have to: "I give notice that I withdraw from my contract for Boardwalk services, ordered on [date]. Name: [name]. Address: [address]. Account email: [email]. Date: [date]." Sign it if sent on paper. Buying credits does not waive your statutory withdrawal right. Any deduction for service supplied before your withdrawal is subject to all applicable legal conditions, including any required express request to start service. We do not treat payment alone as that request. We will reimburse amounts due without undue delay and within 14 days of receiving your notice, using the original payment method unless you expressly agree otherwise, with no reimbursement fee. Statutory rights take priority over account deletion or credit-balance adjustments. Contact us if service was not supplied as agreed; these withdrawal terms do not limit other remedies. 8. Acceptable use You must comply with our Acceptable Use Policy (https://www.boardwalk.cloud/legal/versions/2026-10-06/acceptable-use.txt), which is incorporated into these Terms. You may not circumvent authentication, metering, rate limits, deployment restrictions, model visibility, or other safeguards, or interfere with the Service or another customer. 9. Privacy and data protection Our handling of personal information is described in the Privacy Policy (https://www.boardwalk.cloud/legal/versions/2026-10-06/privacy.txt). If you use the Service to process personal data as a controller or processor and applicable law requires processor terms, our Data Processing Addendum (https://www.boardwalk.cloud/legal/versions/2026-10-06/dpa.txt) applies. You are responsible for providing notices, obtaining permissions, and establishing a lawful basis for personal data you submit or cause us to process. Do not submit protected health information subject to HIPAA, payment-card account data, government identification numbers, biometric identifiers, children's personal data, or other specially regulated data unless a separate written agreement expressly supports it and all legally required safeguards are in place. The ordinary Service does not include a HIPAA business associate agreement. 10. Our intellectual property and feedback The Service, website, console, documentation, designs, and software we provide are owned by us and our licensors and are protected by law. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to access and use the hosted Service. These Terms do not alter any rights granted under an open-source license that accompanies our software or third-party software. You may not reverse engineer the hosted Service except where law prohibits that restriction, scrape it at scale, or use non-public aspects of it to build a competing service. If you send us feedback, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use it without obligation to you. 11. Third-party services and open-weight models The Service depends on and integrates with third parties, including Hugging Face, GPU suppliers such as Shadeform and RunPod, cloud infrastructure, identity, payment, hosting, and analytics providers. Their terms and policies may also apply to your use. We are not responsible for third-party services, repositories, models, licenses, or content that we do not control. Connecting Hugging Face authorizes us to use the access you grant for repository discovery, deployment, qualification, updates, and related model operations until you disconnect it. 12. Changes to models and the Service We may add, modify, requalify, reprice, suspend, or discontinue features and models. We will not change the historical configuration or prices recorded on a completed request. Where practical, we will give reasonable notice before a material discontinuation, but immediate action may be necessary for security, legal, provider, capacity, or rights reasons. The Service currently has no uptime commitment unless a separate written agreement says otherwise. 13. Suspension and termination You may stop using the Service at any time. Account and organization deletion controls are available in the console. An account that solely owns an organization must first transfer ownership or delete that organization. Deleting an organization revokes its API keys, retires its models, and removes its remaining credits from the console balance, subject to statutory refunds and the consumer rights above. We may restrict, suspend, or terminate access if you materially breach these Terms, create a security or legal risk, infringe third-party rights, fail to pay amounts due, or if needed to protect the Service or others. Where practical, we will give notice and an opportunity to cure; we may act immediately to stop ongoing harm or comply with law. On termination, your right to use the Service ends. Sections that by their nature should survive do survive, including accrued payment obligations, ownership, model and content representations, disclaimers, liability limits, indemnification, dispute resolution, and retention required for receipts, accounting, security, or law. If we permanently discontinue paid service or terminate your access without your material breach, we will refund unused purchased credits attributable to that service. Promotional credits are not purchased credits. This does not limit mandatory refunds or remedies. 14. Beta and preview features Features labeled beta, preview, experimental, or similar are provided for evaluation. They may be incomplete, change without notice, or be discontinued and are excluded from any service-level commitment. 15. Disclaimer of warranties To the maximum extent permitted by law, the Service, every model, and all output are provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and uninterrupted or error-free operation. We do not warrant that a model will remain available, that output will be correct or safe, or that the Service will be free of vulnerabilities. 16. Limitation of liability To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, data, or business interruption, even if advised that such damages are possible. Our total cumulative liability arising out of or relating to the Service or these Terms will not exceed the greater of (a) the fees you paid us in the 12 months before the event giving rise to liability or (b) US$100. These limits apply in the aggregate across all claims and do not apply where applicable law prohibits limitation. 17. Indemnification By you. You will defend, indemnify, and hold harmless Robot Networks, our affiliates, officers, employees, and agents from third-party claims, damages, and reasonable costs (including attorneys' fees) arising from Customer Content; a model you deploy; your product, end users, or use of output; your violation of these Terms or law; or your infringement of another person's rights. By us. We will defend you against a third-party claim alleging that your authorized use of the Boardwalk software we provide infringes a United States patent, copyright, trademark, or trade secret, and indemnify you for damages and reasonable costs finally awarded or included in a settlement we approve. This does not cover models, Customer Content, output, open-source components, third-party services, your modifications, combinations we did not provide, continued use after notice to stop, beta or free features, or use contrary to these Terms. We may obtain the right for you to continue, modify or replace the affected Service, or terminate it and refund any prepaid amount attributable to the unavailable portion, or credit any invoiced amount attributable to it. This paragraph states our entire obligation for covered intellectual-property claims. The indemnified party must promptly notify the indemnifying party, provide reasonable cooperation at the indemnifying party's expense, and allow it to control the defense and settlement. A settlement requiring an admission or non-monetary obligation from the indemnified party requires that party's written consent. 18. Export controls and government use You may not access or use the Service in violation of United States or other applicable export-control or economic-sanctions laws. You represent that you are not located in, under the control of, or ordinarily resident in a prohibited jurisdiction and are not a prohibited or restricted party. You may not use the Service for prohibited end uses. Government users receive only the rights customarily provided to the public under these Terms. 19. Governing law and dispute resolution For business customers, these Terms are governed by Delaware law, without regard to conflict-of-laws rules. Before starting a formal proceeding, either party must give the other written notice of the dispute and allow 30 days for informal resolution. For business customers only, an unresolved dispute will be resolved by final and binding arbitration administered by JAMS in San Francisco, California under its Streamlined Arbitration Rules. Either party may bring an individual action in small-claims court if eligible or seek injunctive relief in court for intellectual-property misuse or unauthorized access. Disputes must proceed only on an individual basis; both parties waive participation in class, collective, consolidated, or representative actions. You may opt out of arbitration by emailing legal@boardwalk.cloud (mailto:legal@boardwalk.cloud?subject=Arbitration%20Opt-Out) with the subject "Arbitration Opt-Out" within 30 days after first accepting these Terms. For business customers where the arbitration provision does not apply, the state and federal courts located in New Castle County, Delaware have exclusive jurisdiction, and each party consents to that venue. The United Nations Convention on Contracts for the International Sale of Goods does not apply. Consumers are not subject to the arbitration requirement, class-action waiver, exclusive Delaware venue, or mandatory informal-resolution period above. Consumers retain the protections of the mandatory law of their habitual residence and may bring proceedings in any court available under applicable law. Either party may agree to mediation or arbitration after a consumer dispute arises. 20. Changes to these Terms We may update these Terms. For material changes, we will give reasonable advance notice by email, in-product notice, or another reasonable method. The notice will explain when the changes take effect and how they apply to continued use. We will obtain additional consent where required by applicable law. You may decline and stop using the Service, export your data, disable automatic charges, or close your account, subject to any applicable refund rights. Changes do not retroactively alter completed requests or accrued payment rights. You can download the current version (https://www.boardwalk.cloud/legal/versions/2026-10-06/terms.txt) or the previous version (https://www.boardwalk.cloud/legal/versions/2026-10-05/terms.txt) of these Terms. 21. General These Terms, the Acceptable Use Policy, Privacy Policy, DPA where applicable, and any signed order form are the entire agreement about the Service. If an order form conflicts with these Terms, the order form controls for that conflict. You may not assign these Terms without our consent; we may assign them to an affiliate or in connection with a merger, acquisition, financing, reorganization, or sale of assets. The parties are independent contractors. If a provision is unenforceable, the rest remains in effect. A failure to enforce a provision is not a waiver. These Terms create no third-party beneficiary rights. Neither party is liable for delay or failure, other than payment obligations, caused by events beyond its reasonable control, including natural disasters, war, government action, internet or utility failures, denial-of-service attacks, labor disputes, and failures of cloud, GPU, identity, payment, or model-hosting providers. The affected party will use reasonable efforts to resume performance. We may send notices to the email on your account or through the Service. Send legal notices to legal@boardwalk.cloud (mailto:legal@boardwalk.cloud). 22.
